Corporate Counsel The candidate will independently review, draft and negotiate contracts, amendments and templates in support of the business, including but not limited to: Master Service Agreements, Statements of Work, Sponsorship Agreements, Technology Agreements, Supply Chain Agreements, Creative, Media, Content and Influencer Agreements, Licensing Agreements, Charitable Sponsorship Agreements, Commercial Co-Venturer Agreements, Vendor Agreements, Joint Promotion Agreements and Nondisclosure Agreements. Provide clear, concise and practical legal and commercial advice and counsel to business on a wide array of business and contractual issues while coordinating with other legal team members and stakeholders as necessary to collaborate effectively across all levels of the organization. Provide ongoing management and maintenance of contracts. Keep informed of new laws, regulations, and industry trends that could affect the company and proactively identify company risks and cost-conscious mitigating actions. Identify areas for process improvement, including streamlining contract management processes and templates, and conducting training sessions for internal team members on procedures and other contract or legal topics as necessary. Research and advise on a variety of other legal and business matters as they arise. Provide general legal support for the legal team, including assisting with general corporate and commercial research, analysis and advice on a wide range of business and legal issues, managing legal risks and assisting with key transactions and projects as requested.
The candidate should have a JD degree from an accredited law school. Should have 3-5 years of legal experience, preferably in both private practice and as an in-house lawyer. Member of a State Bar in good standing. Commercial contracts experience, with experience negotiating and drafting contracts. Highly motivated self-starter with demonstrated ability to work efficiently, meet demanding deadlines, and manage competing priorities in a fast-paced environment with minimal supervision. Excellent writing, drafting and verbal communication skills. Sound judgment; ability to make clear and reasoned recommendations.
