Corporate Counsel The candidate will provide general legal advice and counsel to assigned business leaders in support of growth and expansion goals of business verticals. Assist General Counsel and Associate General Counsel in board preparation and other Corporate Governance matters, including drafting board approval decks, interim governance activities, subsidiary management, and corporate policies/procedures. Assist the General Counsel and Associate General Counsel in employment law matters, including disputes, policies and procedures. Assist the Associate General Counsel with compliance policies and procedures, establishing and maintaining compliance training. Draft and provide counsel for various contractual matters focused on core functions, including product distribution. Create and maintain corporate contract templates. Negotiate new information technology contracts entered by the company, advising IT department regarding ongoing rights and obligations. Review marketing material including blogs, social media posts, brochures, articles, etc. for compliance with applicable state and federal advertising requirements. Assist in document collection for litigation, corporate transactions and/or regulatory matters. General legal advice in developing and implementing policies and procedures necessary to support success and growth and periodic update to contract templates.

The candidate should have a JD and admission to New York or New Jersey Bar. Should have 4-8 years of legal experience, preferably corporate law firm or large company in-house counsel. Experience with underwriting, employment law, compliance or operations preferred. Strong negotiation and drafting skills. Highly organized, analytical, and detail-oriented. Ability to manage multiple projects in a dynamic developing environment. Litigation and e-discovery experience beneficial. Strong interpersonal skills with a collaborative and energetic style are essential. Excellent writing and verbal communication skills and an eagerness to learn required.
