VP - Assistant General Counsel - Commercial Banking Shared Services Legal Responsibilities: Providing immediate day to day legal advice to loan operations senior leaders and their respective teams on various commercial lending matters, such as on market dynamics and interpretation of loan documentation. Coordinating with outside counsel to address operational considerations at all stages of the loan product life cycle. Developing and leading legal training programs for loan operations teams, relating to commercial lending, loan documents, and market dynamics. Participating as a legal advisor in cross-line of business projects for the firm's loan operations and regulatory teams, including initiatives focused on transformation, digitization, and process improvement. Driving consistency across the firm's wholesale loan portfolio through collaboration with legal and business partners for the firm's various business units and corporate groups. Analyzing foreign and domestic laws/regulations and developments relating to products and services offered by the Commercial Bank, including through partnership with the firm's other lines of business, and the firm's wholesale loan portfolio. Acting as subject matter expert on certain practice areas, laws and regulations relevant to the Commercial Bank and commercial lending. Collaborating firmwide with senior business, risk, compliance, controls, and other legal partners to issue spot and identify and escalate risks (legal, operational, reputational or otherwise). Advising business partners as they implement policy, process and procedural changes to comply with bank policy and changing laws/regulations.
Qualifications: JD Degree or educational equivalent required. Must be in compliance with all relevant licensing requirements including those of the jurisdiction where the role will be located prior to commencement of employment. 5+ years of relevant legal experience in commercial lending transactions at a law firm and/or in-house legal department at a large bank, regulator or other financial services company is strongly preferred. Experience with private equity or sponsor transactions, syndicated lending, secondary loan trading, real estate lending, and specialty asset classes is a plus. Knowledge of financial services laws and regulations is a plus. The strategic vision to anticipate legal issues in different lines of business. The ability to lead and drive teams to institute change and collaboration across a variety of functional areas. The ability to prioritize work, manage a large number of issues at one time, and confidently interact with senior management. Excellent research, writing and oral communication skills, with demonstrated ability to listen and drive results in a team setting. Effective and efficient problem solver; strong organizational skills. Self-starter; ability to deliver high-quality results under tight deadlines. Strong interpersonal skills with ability to interact effectively with clients and colleagues. Demonstrated problem solving and project management skills
