Contracts Corporate Counsel The candidate will be responsible for handling a wide range of legal responsibilities assigned and supervised by the Executive Vice President & General Counsel. Responsible for all aspects of contract review, development and approval and ensure contracts are efficiently developed and utilized. At the direction and instruction of the EVP and General Counsel, ensures that all contracts entered meet sound business practices, statutory requirements and internal guidelines and procedures. Responsible for working with the EVP and General Counsel regarding contractual matters; analyzes and reviews contracts for customers and vendors in conjunction with the EVP and General Counsel; assists the EVP and General Counsel in the management of contract dispute and resolution process prior and during litigation. Ensure consistency of contract terms with company policies and goals. Expedite and review contracts from company's suppliers, customers and third parties. Develop, assess and negotiate non-disclosure, consulting, service and logistics agreements. Reduce company's contract risk and assist the EVP and General Counsel in developing contract strategies and best practices to enhance contract review processes. Draft purchase and sale agreements for acquisitions in conjunction with the EVP and General Counsel.
The candidate must possess a Juris Doctorate Degree from an accredited law school and must be licensed to practice law in the State of Ohio for five (5) years. Should have 5 years' experience in either a law firm or in-house setting. Should be skilled in the use of computers and Microsoft Office must have strong written and oral communication skills; attentive to detail.
