Associate Corporate Counsel Duties: Serves as an on-site, accessible legal resource to assist in the origination, closing, and servicing of private banking and commercial/industrial and real estate loans within the risk and legal policies, procedures, and cultures of the Bank. Provides prompt assistance in reviewing and draft modifications and amendments to existing commercial loans. Serves as primary legal resource for swap transactions. Drafts all swap documentation for all private banking and commercial / industrial and real estate loans. Coordinates with PM s, equity capital markets and outside counsel to verify that borrowers and loans are analyzed correctly. Serves as legal resource to relationship managers, credit personnel and operations group regarding urgent legal questions / issues that require immediate attention. Provides legal counsel to the Bank's businesses to assist with their development and delivery of cash management and treasury management services, including all deposit and treasury management program documentation. Works with deposit and treasury product groups to draft Deposit Account Control Agreements and Escrow Agreements. Reviews all NDAs (vendor and loan) on behalf of the Bank within 48 hours of request. Represents Legal in the newly formed Marketing Committee to assure that all new marketing materials are reviewed from a legal perspective. Negotiates letters of credit with borrowers and confirming banks and outside counsel, as necessary. Reviews all requests for judgments and levies and/or information related to them, promptly coordinates with loan and deposit operations personnel to assure that the Bank is complying within the litigation and statutory deadlines. Promptly coordinates all subpoena and other legal-procedure requests for information and responses with outside counsel and loan operations in order to comply with any judicial deadlines. Supports the Bank's enterprise risk management efforts, including serving as secretary for ORCC meetings.
Requirements: JD Degree from an accredited law school; bar admission in any state. 4+ years of experience in a comparable attorney position; general knowledge and understanding of federal laws and regulations. Excellent communication, organizational, interpersonal, and team skills, including the ability to build consensus on difficult legal and business issues. Ability to effectively prioritize and manage projects independently and lead projects to successful completion, often under tight time constraints.
