Corporate and Finance Attorney Duties: Serve as a strategic partner to the company's treasury, finance and tax departments, including drafting and negotiating agreements, conducting legal and functional due diligence, preparing amendments, waivers, consents, and assisting in other matters related to the company's credit facility. Draft legal memorandums and provide legal support covering topics such as insider trading, related party transactions, know your customer requests, survey affidavits, corporate governance and similar matters. Assist in audit related matters with the company's independent auditor. Provide legal advice and counsel related to the management of the company's domestic and international subsidiaries, including matters such as dissolutions, liquidations, mergers, name changes, annual maintenance and related matters. Draft corporate policies, processes and procedures. Assist in other general legal matters, as needed.
Qualifications: JD degree from an A.B.A. accredited law school and member in good standing in one state Bar. Corporate and finance experience, with in-house and/or big-law experience a plus. Detail-oriented with a determined focus on accuracy and organization. Ability to organize, prioritize and manage deadlines for a large volume of complex assignments. Strong analytical, research, writing, communication and presentation skills and ability to convey complex legal issues and business concerns in clear and concise communications. Willingness to undertake diverse legal responsibilities as needed. Demonstrated ability to work with minimal supervision and administrative support. Must be a team player with a strong customer-service focus, good work ethic and responsive attitude. Excellent inter-personal skills with ability to interface with, and gain the trust and respect of, business partners at all levels of the company.
