Assistant General Counsel - Intellectual Property The candidate will be involved in: (a) harvesting, protecting and commercializing intellectual property arising from the company's R&D programs; (b) assessing, and negotiating agreements to acquire or license, third party technology; (c) negotiating intellectual property provisions in connection with customer agreements and other commercial agreements; (d) managing a patent portfolio, together with outside counsel; and (d) implementing internal process, procedures and training centered on intellectual property identification and protection. Work with scientific team and technical leads of Resilience's business units to identify, evaluate and protect intellectual property arising from various R&D programs. Draft, review and negotiate intellectual property provisions of manufacturing, process development, purchase, supply, license, and master service agreements. Negotiate and support other technology transactions, such as commercial in-licenses, non-disclosure agreements, material transfer agreements, testing agreements and the like. Coordinate the preparation and prosecution of patent applications as well as the commissioning of IP landscape, patentability, freedom to operate, and other IP reports. Review outside counsel work to ensure the work, methodology, strategy and costs meet the company's expectations. Support the integration of new manufacturing facilities into the Resilience network, including due diligence, implementation of standard policies and procedures, and updating of form agreements. Develop strong understanding of the various proprietary service and technology offerings made available (or under development) by Resilience. Provide additional legal support on other matters and assume other responsibilities, as assigned, including to general corporate matters and intellectual property matters. Should have Juris Doctor and Bar admission with 5 years of relevant experience in Life Sciences industry, preferably with experience in biomanufacturing. Top law school, large law firm and prior in-house experience preferred. USPTO registration in good standing is required. must have experience advising on, drafting and negotiating intellectual property provisions of various agreements, including licensing, collaboration, and/or other corporate or commercial transactions, with a strong preference for biotechnology industry or pharmaceutical industry transactions experience. Should have experience coordinating IP workflow, including the identification and protection of IP and the commissioning of IP landscape, patentability, freedom to operate, and other opinions.
