Corporate Counsel Responsibilities: Serve as a general legal resource for the organization and employees, which will result in a exposure to a wide variety of interesting legal topics and challenges while providing hands-on advice, counsel and support. Ensure compliance with applicable laws and regulations and advise management on recent changes in laws and regulations that impact the company. Review, comment, revise and negotiate complex commercial construction contracts Such responsibilities include underwriting the contract documents, risk assessment, preparing comments and questions to the owner and working closely with the project team and our partners to adequately address and mitigate risk and cost. Draft and negotiate necessary contractual agreements to support operations, including joint venture agreements, design subcontract agreements, and teaming agreements. Handle third Party contract administration including subcontract and purchase order term review and negotiation. Provide advice and counsel to operational staff regarding project performance issues, including but not limited to subcontractor default, bond and mechanic lien claims, owner claims, contract compliance and development of claims as needed. Review and advise on proposed lease agreements, vendor agreements, and non-disclosure agreements. Oversee and advise on labor and employment matters and litigation and EEOC charges. Handle oversight and management of OSHA citations. Monitor and oversee all pending litigation including but not limited to subcontractor litigation, wrongful termination, and contract litigation. Perform other job functions as are necessary and may be assigned to support the legal needs of the company.
Qualifications: Must have a Juris Doctorate from an accredited law school; 2-5 years of practical relevant experience; Admission to a state bar. Construction and transactional experience preferred. Must have a highly developed written and oral communication skills; Ability to assess potential risks, benefits and consequences of decisions, balancing legal and practical business considerations; Travel as necessary to attend meetings, conduct trainings, audits and investigations. Required to work in-person at our West Loop Headquarters
