VP, Assistant General Counsel - Corporate Responsibility Attorney The candidate will support the provision of legal advice and transactional support to CR. Advice on domestic and international grant-making and ensure compliance with tax laws and regulations applicable to private foundations and other 501(c)(3) organizations (expenditure responsibility, foreign charity equivalency determinations, self-dealing and private benefit analysis, etc.). Draft, review and negotiate grant agreements, sponsorship agreements, services agreements and other contracts. Review, recommend and implement compliance with internal policies and procedures. Analyze regulatory and legislative developments impacting philanthropic giving, including advice regarding implementation. Provide advice and counsel on corporate governance matters. Advice on environmental, social and governance (ESG) matters, including impact investing and sustainability. Review external communications (press releases, website content, sponsored content) and reports. Advise on the workplace giving program, which supports employee charitable giving. Liaise with the CR Grants Management team and other business representatives as well as lawyers in the Legal Department. The candidate must have a JD degree. Must be in compliance with all relevant licensing requirements including the requirements of the jurisdiction where the role will be located. Should have 5 years of experience practicing at a law firm or in-house legal department. Experience in the laws that govern non-profits, including charitable organizations. Experience with ESG and impact investing is a plus. Familiarity with a broad range of federal and state legal issues in the exempt organization's field, including grant-making, charitable contributions, governance, commercial co-ventures and tax. Strong contract drafting and negotiation skills. Excellent verbal and written communication skills, including advising senior management of risk, challenges and solutions. Demonstrated ability to exercise independent judgment and initiative, manage and prioritize multiple tasks, and work under deadlines and change priorities in a high-performance environment. Ability to effectively navigate a large, complex organization. Ability to work collaboratively with a diverse team of legal and other professionals, within the Legal Department and across functions.
