Corporate Counsel - General Business Operations Duties: Provides competent and actionable legal guidance and counsel on a wide variety of business issues arising across all business functions, end markets and regions. Proactively engages with business leaders and functional stakeholders to anticipate, mitigate and resolve legal issues, including providing counsel and training to global business partners on material aspects of all applicable laws and regulations; Tracks and advises on national and international laws, regulations and other industry standards regulating products (such as vehicle regulations issued by EPA, CARB, NHTSA, etc.), and supports business areas, cross functional teams and committees with responsibilities that are subject to these regulations; Provides legal counsel and training relating to Allison product development, new market entry, product environmental strategy and compliance, government contracts, and to vehicle safety on a worldwide basis. Serves on various committees and cross-functional teams to assist in developing best practices across the Company's end markets (for example, the Company's handling of data privacy, cybersecurity, and product and warranty investigations). Provides legal counsel to product investigation teams, engineering and technical staff, trains clients and colleagues and handles government inquiries. Supports compliance with international prohibitive substance legislation (REACH, Rohs, ELV, IMDS, GADSL, etc.). Effectively assesses risks, negotiates and provides proactive and preventative legal counsel. Ensures appropriate internal reporting to the General Counsel and Deputy General Counsel and respective business partners, exercising good judgment on what is material to the audience. Supports the business with a variety of commercial transactions as needed, including M&A efforts and integration. Manages external legal support as required. Adapts easily to new circumstances.
Qualifications: JD from an accredited law school and ability to practice law in Indiana. Valid active license in at least one state to practice law with no pending discipline or complaints and the ability to obtain a license in Indiana. Should have 5 years of experience with a law firm or an in-house legal department. Excellent verbal and written communication skills. Well-developed legal and problem-solving skills with the ability to adapt, take on new roles, and comfort in learning new areas of the law. The ability to communicate information effectively to non-lawyers at all levels of a business. Preferred Qualifications: Deep experience in one or more of the following areas of law: corporate/commercial law, M&A, regulatory schemes, FAR and DFAR and government contracts. Experience working with international legal environments.
