Senior Counsel, Commercial/Employment The candidate will provide support to the Deputy General Counsel in the areas of commercial contracts (drafting, negotiation and consultation with operational partners); RFP issue spotting, negotiation and management; creating and reviewing reports on key transactions to senior management; collaborating with outside counsel on commercial matters; and identifying and communicating potential legal risks in commercial contracts. Assist in the drafting, review and negotiation of various vendor agreements, charter agreements and master services agreements. Assist in identifying commercials risks (legal and operational) across the enterprise with respect to the Company s key commercial contracts/agreements. Engage with operational leadership on needed information and data to facilitate contract drafting and editing. Under the direction of the Associate General Counsel Labor, Employment & Compliance, provide support to all departments to foster compliance with federal, state and local laws and regulations relating to employment and labor. Provide support to HR in employee hiring, discipline and terminations (including grievance and arbitration process). Help to develop and implement policies and practices that mitigate risk and promote compliance with existing and developing law with respect to ongoing commercial and employment/labor matters. Promote and maintain governance and compliance matters generally with a strong understanding of location needs and mindset, including working with Human Resources to educate and train the workforce in employment law issues. Assistance with local labor grievance and arbitrations, and workers compensation litigation cases, in collaboration with the General Counsel, Human Resources, Labor and Operations. Collaborate with local outside counsels. Other duties as required.

The candidate should have a Bachelor's Degree and JD, Licensed to practice in one or more States. Should have 5+ years of relevant legal experience, including contract drafting/review, employment/labor law and labor relations. Excellent written and verbal communication skills. Solid focus and attention to detail. Can responsively prioritize and handle multiple tasks in a fast-paced, dynamic and time-sensitive environment. Self-directed individual with the ability to work independently yet also work collaboratively with the legal team as well as with a highly matrixed internal client base. Demonstrated ability to synthesize complicated legal and business issues into practical and effective guidance. Excellent critical thinking, drafting, and negotiation skills with the ability to work collaboratively with business partners to identify and allocate risk within contracts and resolve using commercially reasonable terms. High degree of integrity and intellectual curiosity. Experience with the transportation industry or public procurement and fluency in French are a plus.
