Corporate Counsel - Technology Contracts The candidate will review, draft, and negotiate software contracts for all areas of the business including vendor agreements, licensing agreements, technology agreements, publication agreements, sponsorship agreements and non-disclosure agreements. Investigate, research, and analyze all articles, legal documents used in the preparation of contracts, claims, and lawsuits. Provide guidance on legal and regulatory issues and federal and state laws and regulations including employment law and internal business processes. Assist in the development and review of policies and practices, in addition to managing regulations such as form filings and rules. Continuously monitor the deadlines for upcoming claims, litigations, and other relevant legal procedures. Ensure the organizational goals and objectives are achieved in compliance with applicable rules and regulations. Support legal initiatives and manage the dissemination of communication of the company information needed to maintain compliance in claims, underwriting and operations. Study and analyze the policies and practices that may have an impact on the organization. Represent interests in transactions, contracts, and other business situations. Stay current on relevant laws and regulations, including the area of data privacy.
The candidate should have a Juris Doctorate degree from an accredited law school and 3 years of related experience. Experience in drafting and negotiating a wide variety of contracts, including IT/software contracts. Licensed to practice law in the state in which you are employed with a thorough knowledge of state and federal law and regulations. Knowledgeable of international laws and practices with some compliance experience relevant to the industry. Experience in litigation including assessing risk, developing strategy, reviewing pleadings, and discovery. Experience working with teams and leadership in a global organization. Ability to work in a fast-paced, demanding, sales and deadline-driven environment and to respond appropriately to shifting priorities. Excellent oral and written communication skills; must be able to communicate clearly and effectively with internal and external stakeholders on complex legal and commercial issues.
