Attorney - Contracts, Litigation and Employment Law Responsibilities: Identifying appropriate legal strategies to facilitate strategic goals and minimize legal risks. Functioning as a strategic business partner who provides trusted counsel to the company s internal functions to identify and manage legal risk while supporting the needs of the business based on review, interpretation and analysis of laws, regulations and internal policies on legal issues considering both global and local requirements. Working closely with our global business contracts teams to negotiate, review and draft transactional documents, contracts, and other legal agreements, including sales, procurement, and distribution agreements. Oversee dispute resolution, lawsuits, and arbitrations by providing advice and regular, clear communication of litigation issues and opportunities to the affected business and legal function. Resolving employment matters, assist with employment-related issues when needed by providing counsel to the Human Resources function on policies and procedures, collaborating with HR on employee relations on investigations and litigation. Assist with mergers & acquisitions due diligence. Identify issues, gather, assess and organize relevant information, devise solutions and action plans and obtain requisite support from business leaders to manage legal risk. Interact and manage relationships with outside counsel at the direction of General Counsel. Prepare and deliver cross-functional training on legal or regulatory issues. Identify business legal and regulatory trends and issues potentially impacting the Company. Participate in all legal related projects and drive implementation across the company. Corporate matters include drafting operating agreements, purchase and sale agreements, and joint venture agreements. Structure, draft and negotiate a variety of agreements, including vendor agreements with suppliers, global supply chain vendors, software providers, consultants, and other service providers. Analyze and interpret contracts and provide thoughtful legal advice on potential risks and issues in a wide range of legal areas.

Qualifications: Undergraduate plus Juris Doctor degree (BA/BS plus JD). Bar Admission in good standing. 3 years of experience with a law firm or in-house corporate law department. 3+ years of relevant experience needed. Experience with complex customer and vendor relationships, regulated services (privacy/security) and an extensive supply chain preferred. Must have commercial contracts experience and specialize in negotiation. Litigation experience for employment and commercial/corporate issues. Significant experience drafting various legal documents. Strong interpersonal skills including excellent communication and negotiation skills, and ability to work in a highly collaborative environment, with diverse teams; ability to clearly articulate and present complex advice to executives, other employees and external constituencies. Committed to comprehensive and in-depth analysis, planning and implementation of every work effort. Ability to proactively identify and solve complex problems and to think strategically and beyond existing solutions and frameworks. Ability to balance multiple priorities based on legal risk to Company.
