Corporate Counsel The candidate will be assisting with preparation of the company's SEC filings, including current and periodic reports, proxy statements, Section 16 filings, and any related filings. Advising on Regulation FD and Regulation G issues, including material press releases, investor presentations, and other communications and investor relations matters. Assisting in oversight of the company's global subsidiary management, including annual compliance, implementation of policies to support parent and subsidiary governance, and signing authorities. Supporting and managing legal aspects of mergers and acquisitions, strategic business transactions, and financing activities, including managing outside counsel, reviewing and negotiating documents, overseeing due diligence, and providing strategic advice and guidance to senior management; Supporting internal departments such as accounting, investor relations, tax, treasury, and corporate development to assist with strategic projects; and Analyzing and summarizing complicated legal documents and making suggestions and developing strategies for those documents and related projects; Assist with various complex and/or sensitive projects, as assigned.
Qualifications: The candidate should have a law degree from an accredited law school and being a member of the bar in good standing is required. A minimum of 4-5 years of relevant experience as a practicing lawyer in good standing. Excellent communication (oral and written) and interpersonal skills with the ability to establish and maintain strong working relationships across departments and externally. Good judgment and an ability to handle a high volume of work and prioritize competing demands. Willingness to learn and develop in multiple practice areas. Experience with publicly traded companies, securities laws, filings, and disclosures is preferred. Experience with mergers and acquisitions is preferred.
