Senior Corporate Counsel - Contracts The candidate' will be responsible for handling an array of corporate legal matters to foster company operations while minimizing company risk and ensuring compliance with laws, rules, regulations and contractual arrangements. Duties: To handle various corporate transactional matters for kohl's operations involving a variety of legal disciplines with emphasis on strategic contracting; Negotiate contracts involving all aspects of Corporate day to day operations and transactions; Develop additional form contracts and documents, as necessary, to facilitate strategic contracting; Research and provide strategic legal advice concerning a broad range of questions and circumstances pertaining to Corporate matters (including, but not limited to, Marketing, Merchandising, Finance, Credit, Product Development, Purchasing, Logistics, Facilities, E-Commerce, Information-Systems and Retail Law generally) which arise in the company's day-to-day business activities to ensure that company personnel are aware of, and in compliance with, applicable laws and regulations; Develop strategic policies/processes/materials and educational materials to minimize company legal exposure as well as educate/train senior management on legal risks and ramifications; Advise company personnel as to legal ramifications of past and proposed actions and formulate solutions to existing problems in an advantageous manner. Manages direct reports, systems and projects to achieve unit goals in accordance with Kohl's policies and practices; Prepares and analyze unit plans and reports; Provides leadership by exhibiting influence and expertise, thus affecting the results of the operating area; Creates an effective work environment by developing a common vision, setting clear objectives, expecting teamwork, recognizing outstanding performance and maintaining open communications Develops staff through coaching, providing performance feedback, providing effective performance assessments and establishing performance and development plans; 7-8 years experience in private practice and/or corporate legal department with preferable emphasis in retail or merchandising; Should have: Superior analytical ability, negotiation and writing skills; Strong verbal/interpersonal communication skills; ability to clearly translate legal concerns into lay terms and effectively communicate the legal conditions which affect business opportunities/operations and provide strategic alternatives to advance company pursuits; Strong ability to prioritize multiple projects while maintaining attention to detail; Preferred: Broad based knowledge on various legal issues involving Corporate Transactions, Marketing, Merchandising, Finance, Credit, Compliance, Product Development, Purchasing, Logistics, Facilities, E-Commerce and Information-Systems within the retail context; Special requirements: Juris Doctor degree from accredited law school. Member of state bar or licensed by the state bar.
