Associate Corporate Counsel Duties: Assist with managing all pending or threatened litigation matters against the company, as well as legal claims brought by the company against third parties. Manage compliance with and response to third party and government subpoenas and/or investigations. Develop, implement and maintain appropriate litigation policies, systems and defenses relevant to the company's operations, including document hold and production policies. Advise the business on all disputes and potential disputes with third parties, including advising on chances of success and procedures of formal proceedings, preparing arguments and strategies for all disputes, corresponding with and meeting with third parties setting forth the company's arguments in any dispute and trying to resolve the matter without the need for formal proceedings. Assist with creating, updating and managing the litigation and investigations portion of the legal budget. Supervise outside counsel in processing all court proceedings including drafting pre-action correspondence, preparing discovery of documents, reviewing and amending pleadings and witness statements, attending trials and hearings as appropriate, and developing strategies to obtain the best and most cost effective result for the company. Work with the finance department and auditors in preparing litigation summaries and audit confirmation letters for financial reporting. Assist the compliance team on issues arising from alleged breach of the company's code of conduct and related policies, whistle-blower cases and internal investigations. Assist with updating management on all dispute related matters. Advise both the Specialty Brand Business and the Generics Business units on legal issues, risk management issues and business issues as needed; Support the SVP, Legal Affairs in other miscellaneous legal projects Corporate Governance Prior exposure to or experience with corporate governance matters; Ensuring the accuracy and integrity of meeting agendas; Maintaining a reliable tracking system for substantive meeting topics and items; Assisting in the collection, review and quality assurance of all documentation and materials sent from management to the Board, and Board committees; Attending all Board and Board committee meetings, as requested, to take accurate and comprehensive minutes, within a reasonable time following each meeting, as the corporate recording secretary; Undertaking appropriate post-meeting action to ensure implementation of decisions arising from meetings, and ensuring appropriate forward plans are provided to management; Reviewing public disclosures, including the annual reports, access to information and privacy reports, and reports on Board expenses Supporting the maintenance of communications with Board members between meetings, by coordinating the administration of the electronic Board Portal and by reviewing regular newsletter -style updates from the President, the Corporate Secretary or Chairperson to Board members Assist with support for M&A activity, contracts review and other legal projects and department requirements, as needed.

Qualifications: JD degree from an ABA-accredited law school with strong academic credentials. BA/BS from accredited institution, 5-7 years of law firm and/or in-house law experience (experience representing a prescription generic or brand pharmaceutical or biotech client preferred); Member of at least one state bar; Strong knowledge and understanding of healthcare laws and regulations, including Affordable Care Act, Medicare regulations, Sunshine Act, Anti-bribery laws, Anti-kickback laws, FCPA, etc. Strong knowledge and understanding of the pharmaceutical industry, particularly as it relates to commercial operations; Excellent communication skills (both verbal and written) - ability to cogently and tersely explain complex concepts and make them seem simple; Strong integrity Ability and willingness to take personal responsibility and be accountable for business outcomes; Ability to be a self-starter and operate with minimal supervision, driven, can-do attitude and strong work ethic; Ability to think critically, analyze various options quickly and advise clients with solutions-oriented, entrepreneurial approach, including the ability to think of novel, unconventional or creative solutions and explore them with clients, Ability to thrive in a multi-cultural, multi-site work environment is required; Sound judgment Ability to handle numerous high-profile, highly demanding tasks and projects, manage client expectations, prioritize workflow, and execute plans to achieve objectives without getting overwhelmed; Ability to work on a cross-functional team, contribute towards the creation of a solution to a complex business problem and deliver those results on budget and on time.
