Corporate Counsel Duties: Provide legal counsel and support to sales, business, product, and engineering teams. Collaborate with Contracts Manager to draft, review and negotiate a wide range of complex commercial contracts, including but not limited to: sponsorship, agency, consulting, talent, trademark and content licensing, vendor services, marketing and co-branded content, digital distribution, real estate leases, non-disclosure, and confidentiality agreements, vendor and client MSAs, advertising orders, data sharing, statements of work, and SaaS agreements. Provide legal counsel to internal business partners and company leadership on various advertising, marketing, intellectual property, social media, privacy, and data laws. Develop Company's policies on industry-specific issues, corporate governance, and regulatory affairs. Crafting and reviewing legal strategy in response to litigation. Lead and collaborate with Contracts Manager to track all Company contractual obligations, legal documents, and legal proceedings. Direct and coordinate fillings and other statutory requirements. Provide leadership direction and support with due diligence, mergers and acquisitions, and corporate development activity as necessary. Demonstrate commitment and discipline related to data privacy policies and processes and provide counsel on related agreements, including, but not limited to, HIPAA and state specific regulations and mandates. Lead deal desk function and team, owning SLAs, contract approval queue, internal partnerships with Sales and Salesforce leadership, and process. Shape and implement legal department best practices and operating principles that inspire excellence. Provide legal counsel on human resources matters, drafting independent contractors and employment agreements. Provide leadership in support of legal department growth, overall functionality as well as mentor Contracts Manager and Corporate Paralegal with career growth and role expansion.. Communicate and partner with outside counsel.

Qualifications: JD Degree. Must be a member of good standing of the Ohio or Illinois Bar. 10+ years experience with a law firm and / or in-house corporate legal department. Preferred Qualifications: Experience working in-house counsel for a media or advertising company. Strong knowledge of and experience advising on statutes, regulations, and guidance documents applicable to commercial operations and medical affairs activities, including: research and interpretation of the Food, Drug, and Cosmetic Act; federal and state anti-kickback statutes; the False Claims Act; and the PhRMA Code. Knowledge of marketing-related business practices, including advertising, copyright, privacy, and technology. Proficient with Microsoft Office Suite (Word, Excel, PowerPoint). Knowledge of Salesforce, Smartsheets, and Contract Management Systems. Effective written and oral communication skills and adaptable communication style for interacting with team members, company leadership, clients. and managing inter-departmental workflows. Ability to work effectively with business partners, simultaneously manage multiple projects and meet deadlines with consistently high quality of work product. Time management and organization skills to handle negotiation and execution of multiple Company initiatives. Prior talent management and leadership skills to motivate, coach and develop team members.
