Corporate Counsel Duties: Draft or negotiate contracts and agreements in compliance with internal corporate policies, regulatory requirements, contractual obligations, and the company's risk appetite. Reinsurance transactions including insurance-linked notes. Service, license, and consulting agreements related to information technology. Service and consulting agreements related to the company's value-add suite of services. Service and consulting agreements related to marketing initiatives. Confidentiality and non-disclosure agreements. Execute on capital markets transactions, including mortgage insurance-linked note transactions. Working at the direction of the General Counsel, managing and execute on initiatives related to ESG reporting. Oversee legal compliance with lobbying requirements and PAC solicitations for the company's political action committee. Engage with corporate government relations and regulatory initiatives as needed. Collaborate with Compliance team to research, review and advise on compliance and ethics matters as may be required or requested. Conduct legal research into strategic or tactical issues which concern the company, including regulatory compliance, product development or other matters affecting the mortgage insurance industry. Provide legal oversight on a variety of privacy issues including data governance, cyber security and state consumer protection laws. Provide advice and counsel regarding advertising, promotions and contests which may be offered from time to time. Consult and provide legal oversight and advice on certain claims decisions to ensure compliance with the company's contractual obligations. Respond to 3rd party subpoenas and oversee smaller litigation matters. Assist Securities Counsel with certain legal matters related to publicly traded companies.
Qualifications: Should have a Law degree and admission to the Bar in Wisconsin. Must have 3-7 years of corporate legal experience. Must have a willingness to undertake a wide variety of corporate legal issues. Experience in insurance is viewed favorably.
