Assistant General Counsel - Investment Tax Duties: Provide legal, strategic, and business advice and support to the Company in connection with tax issues pertaining to the Company's investment portfolio and other strategic corporate initiatives, including structuring and documenting complex private equity and debt investments, private fund investments, and formation, privately placed and public bonds, structured finance, project finance, bank loans, tax credit transactions, real estate joint ventures and mortgage loans, global markets transactions (issuer and investor), hedging and derivative transactions, financial products, reorganizations/restructurings, corporate acquisitions and dispositions, and corporate tax planning. Provide legal, strategic, and business advice and support regarding audit and tax controversy matters pertaining to the Company's investment portfolio and other strategic corporate initiatives. Provide support to business units that manage intercompany transactions and corporate subsidiaries; collaborate with independent contractor field force on applicable field office structure-related matters, including business structure and choice of entity, financing and tax planning, transition and succession transactions, and other tax matters impacting entrepreneurial business enterprises. Provide legal, strategic and business advice to Government Relations on all applicable federal and state tax laws, regulations, and policies pertaining to the investment portfolio; participate in and liaises with relevant industry groups, including the American Council of Life Insurers, ABA, and SIFMA. Preparing tax memoranda, opinions, and ruling requests. Assist the company in developing tax-related policies, procedures, and training materials.
Qualifications: Must have an exemplary academic record and a Juris Doctorate. A license to practice law in the State of Wisconsin or a commitment to become licensed within the first year of employment is required. Must have 10 years of legal experience relating to investment tax issues at either a law firm, in-house law department, or accounting firm. Should have the ability to analyze a variety of legal issues, synthesize complex information, research effectively, and provide solution-oriented legal advice to business professionals throughout the Company.
