Corporate Counsel Duties: Review, draft, and negotiate all types of contractual obligations to which the Company is a party. Manage and facilitate the timely negotiations of global site contractual documents in accordance with project-specific timelines, including site budgets and contract amendments, related vendor agreements, and supporting regulatory documents. Advise and counsel Human Resources with respect to personnel matters to ensure proper consideration of legal issues and requirements. Advise and counsel Company Management with respect to intellectual property matters to ensure proper consideration of legal issues and requirements and protection of Company's intellectual assets. Advise and counsel Company Management with respect to general business matters to ensure proper consideration of legal issues and requirements and the Company's objectives. Supervise, direct, and manage assigned litigation and legal claims in which the Company is involved. Review, draft, and negotiate, in accordance with the Company's contractual standards, contracts with clinical Investigators relative to clinical research projects in which the Company is involved. Manage assigned real estate matters including landlord/tenant relationships, lease negotiation, and administration. Negotiate and resolve contractual disputes. Provide guidance on data privacy regulations. Provide guidance, counsel, and advice in all other matters as requested from time to time by the Company's General Counsel. Assist with the training and development of others in the Department in the performance of any of the foregoing responsibilities as may be requested from time to time by the Company's General Counsel.
Qualifications: Bachelor's degree or international equivalent. Juris-doctorate degree from accredited law school or international equivalent. Membership to the Ohio or Kentucky bar in good standing, or membership to another State Bar with registration to Corporate Counsel Status in Ohio or Kentucky. Should have 0-5 years of experience in general corporate law including private practice with a mid-to-large size law firm or as in-house legal counsel.
