Corporate Counsel The candidate will draft, review and negotiate a wide variety of commercial contracts, SaaS agreements, professional service agreements, sponsorship and marketing agreements, partnership agreements, and data processing agreements in the US, Canada, UK, and Ireland. Develop new and update existing contractual templates and related tools. Advice on legal and regulatory issues related to the development of products and services, privacy and data security, marketing, intellectual property, and other legal matters that arise. Manage a broad range of litigation matters, from intellectual property disputes to contractual claims. Supervise and manage outside counsel in relation to certain matters, including actively developing litigation strategy, overseeing, gathering, and preparing discovery production. Assist with employment law matters, including standardized employment documents, internal investigations, and general advice in conjunction with human resources and the Senior Corporate Counsel. Provide general advice on real estate matters, leases, and subleases in collaboration with outside counsel. Identify and assess legal risks, business impact, and mitigation strategies and provide a legal and practical guides to the business accordingly. Monitor current and pending legislation and develop internal policies to ensure compliance with state and federal regulations. Provide general legal advice on a variety of topics. Other projects as assigned.
The candidate should have 5 years of experience at a law firm, with additional in-house experience preferred. Experience with employment law, intellectual property, litigation, licensing, privacy, and/or data security. CIPP certification or working knowledge of relevant data privacy laws and regulations, including GDPR, CCPA/CPRA, and New York Department of Financial Services Cybersecurity Regulation. Familiarity with international issues, laws, and customs and the ability to adapt to the same. Experience using Westlaw. Knowledge of the insurance industry and insurance concepts. Canadian/international legal exposure is ideal. Significant experience in drafting and negotiating intellectual property licenses and software agreements, partnership agreements, and related agreements. Litigation experience. A JD and any State Bar admission in good standing with the ability to obtain IL bar admission.
