Senior Attorney - International Commercial Contracts The candidate will draft and negotiate international commercial contracts, including product supply agreements, licensing agreements, e-commerce solutions, confidentiality agreements, wholesale and distribution agreements, and other business and legal documents. Review existing contractual agreements and provide guidance on rights and obligations. Operate as a key liaison between the international business unit and other supporting, cross-functional business partners. Lead negotiations that are business critical, complex and/or sensitive in nature. Leverage legal expertise to create practical solutions to operational priorities requiring licensed retailer support with or without established precedent. Engage and manage projects and initiatives via outside counsel. Effectively interpret regulations, policies and statutes. Develop and implement international and commercial legal projects. Provide guidance, interpretation and development to a supporting team of paralegals, junior attorneys and/or outside counsel. Update contract templates and procedures while demonstrating the ability to create and implement process efficiency for internal contract management.

The candidate should have a Juris Doctor degree from an accredited law school. Must be a member of the Ohio bar or a licensed attorney who will obtain Ohio bar membership. Should have 7-10 years of experience with a law firm and/or in-house counsel in the field of business and commercial contracting. Significant retail licensing and/or franchisee legal experience within an international landscape. Proven experience in drafting and negotiating commercial contract requirements to include deliverables, terms and conditions of sale, fees, confidentiality and termination rights. Proficient in Microsoft Office suite including Outlook, Word, PowerPoint, Excel and Access. Strong verbal and written communication skills including presentation and negotiation skills. Strong relationship building skills across multiple leaders, layers and cross-functional business partners. Departmental and cross-functional team player. Strong organizational skills with the ability to manage a large volume of work and meet critical timelines in a fast-paced environment. Takes independent and decisive action while maintaining flexibility to prioritize and handle multiple tasks and work streams. Effectively manages risk/reward to each situation based on comprehension of the law as well as internal business objectives. Conduct all work in an ethical, professional and confidential manner.
