Contracts Attorney The candidate will do preparation and negotiation of contracts, including but not limited to: master service agreements, statements of work, clinical trial agreements, consulting agreements, confidential disclosure agreements, and material transfer agreements, independently, as well as in coordination with the Director, Contracts Counsel and external counsel (depending on the complexity of agreement). Contribute to the implementation and training for a new contracts management system. Liaise with the finance department on matters pertaining to contracts. Monitor and advise internal clients of contractual rights and obligations as relevant. Analyze contracts to ensure compliance with company policy and regulations. Advise internal clients on contract interpretation, dispute resolution, risk allocation and other legal matters in a pragmatic way that results in actionable business advice. Contribute to initiatives to improve contract processes and workflow. Contribute to the development of template agreements, fallback provisions and negotiation guidelines. Educate internal clients regarding contract policies and processes. Collaborate with other members of the legal department on internal initiatives. Assist with business development, IP and public company work and other legal tasks, as needed.
The candidate should have a JD from accredited law school and license to practice in at least one US jurisdiction. Should have 2+ years of professional experience with at least 1 year experience in contracts negotiation and administration in the healthcare industry. Ability to provide practical, timely, and risk-appropriate legal counsel, with support from the Director, Contracts Counsel, to a wide variety of internal clients on contract matters and interact effectively with employees at all levels of the organization. Ability to communicate clearly and concisely with all stakeholders. Excellent organizational skills and ability to multi-task in an extremely fast- paced environment.
