Senior Corporate & Commercial Attorney The candidate will be responsible for global subsidiary management including governance and intercompany transactions. Will provide lead legal support for mergers, acquisitions, divestitures and joint venture arrangements or other strategic partnerships, and the integration of acquisitions. Provide legal support for capital markets and other strategic financial transactions. Provide legal support for executive compensation matters and manage outside counsel for areas of responsibility. Engage with other team members to ensure compliance with SEC rules and regulations, assist with corporate governance and help manage the preparation and execution of the company's proxy and annual meeting of shareholders. Draft, evaluate, redline, and negotiate complex commercial agreements.
The candidate should have Juris Doctor degree from an ABA accredited law school, licensed to practice law in any US state, and in good standing with the relevant bar association(s) in the US state(s) where licensed to practice law. Must have 5+ years of corporate legal experience, in particular related to M&A and securities, with a significant portion of that experience gained while working for a large public US multinational. 5+ years of experience drafting and negotiating large, complex sales, partnering, and procurement agreements is required.
