Corporate Transactional Attorney The candidate will develop an in-depth understanding of Hertz's business and its competitive and risk environment, and serve as a trusted partner by providing risk-based legal counsel and guidance. Partner with business clients in evaluating and conducting due diligence on strategic opportunities. Provide support and guidance for corporate transactions and other strategic initiatives, including structuring, drafting, reviewing, and negotiating non-disclosure agreements, letters of intent, asset purchase agreements, services agreements, and other commercial and transaction-related agreements and documentation. Lead and collaborate with other attorneys and cross-functional teams as a project manager to facilitate the closing of business transactions. Prepare and provide counsel regarding policies to support company objectives. Review and advise on engagement letters and other legal documentation. Assist with preparation and review of securities filings, including Form 10-Q, Form 10-K, Form 8-K, Proxy Statements, Section 16 filings, and other documentation required through SEC and exchange regulations, including collaboration with internal and external counsel, senior management team and other departments. Interpret and advise on securities matters regarding the Securities Act of 1933 and Securities Exchange Act of 1934, and regulations promulgated thereunder. Support design and implementation of securities compliance programs, policies and procedures (e.g., insider trading, related person transactions). Assist with the preparation and review of SEC and exchange reporting and compliance. Support corporate governance function, including drafting and maintaining corporate governance documents such as guidelines, charters and policies, etc. Support board of directors and committee meetings including preparation of annual work plans, drafting resolutions, preparing agendas and board meeting materials and providing legal support on other corporate documents and business materials. Assist in the preparation and execution of the annual meeting of stockholders, including collaboration with management. Assist with subsidiary management including creating and dissolving legal entities and drafting documents such as consents, minutes, etc., and maintaining corporate records. Provide daily legal support and advice to the Franchise Operations team in the Americas (U.S., Canada, Central and South America and the Caribbean). Structure, draft, review, and negotiate franchise agreements, agency agreements, license agreements, confidentiality and non-compete agreements, and other related documentation. Lead the preparation of franchise disclosure documents in the U.S., Canada and other jurisdictions in collaboration with multiple internal and external resources. Provide sound risk-based legal advice and consultation to facilitate business decisions (offer, sale, renewal, termination of franchise agreements), and support for resolution of disputes.

The candidate should have 2 years of experience as a practicing attorney with a corporate in-house legal department and/or private law firm. A JD. with strong academic credentials is required. Required to be admitted to the bar and in good standing in Florida, or admitted to the bar and in good standing in another state and eligible for limited licensure of in-house counsel in Florida. Direct experience in corporate governance, public company reporting, securities, mergers & acquisitions and franchise law is helpful but not required; Hertz can provide substantive business and legal training for the appropriate candidate and the opportunity for career development and to partner with seasoned attorneys with subject matter expertise. Strong interpersonal skills, including an ability to communicate effectively to non-attorneys and lead through collaboration. Strong capabilities in leading a team or cross-functional group insignificant tasks or projects and managing and developing teams and individuals located in diverse areas and backgrounds. Strong analytical and strategic skills, including the ability to collaborate and drive issues to a resolution that factor in legal and non-legal variables, such as reputational risk, communications, government relations, regulatory relations, tax, insurance, finance and other considerations. A strong work ethic and a proven ability to meet deadlines on multiple projects simultaneously. Ability to operate in a fast-paced environment with a very high level of autonomy. Ability to manage and coordinate outside counsel in a cost-effective manner. Ability to read, write, and fluently speak and understand the English language. Excellent PC skills, including proficiency with Microsoft Office Suite programs. Good business judgment complements legal skills.
