Junior Corporate Counsel The candidate will support a variety of M&A transactions, including structuring, due diligence, negotiation and documentation through closing. Draft, review, and negotiate a variety of corporate and business agreements, including licensing agreements, distribution agreements, supply agreements, confidentiality agreements, operating agreements, vendor agreements and joint venture agreements. Provide practical and timely legal advice and support across departments and various business units on a broad range of legal and regulatory matters. Assist with the management of outside counsel when/if relevant. Maintain current knowledge of relevant legal principles, practices and trends. Corporate governance matters. Coordinate the improvement of standard form agreements and legal processes, including templates and supporting a contract management system.
The candidate should have a J.D. degree from an accredited law school. Admission to a State Bar; Florida preferred. Must have 1 year prior legal experience. Excellent drafting, negotiating and communication skills. Excellent organizational, time management and decision-making skills, with the ability to work independently and handle multiple projects efficiently in a fast-paced environment. Excellent knowledge of applicable laws and regulations. Must be able to exercise good judgment.
