Corporate / M & A Attorney (1099 contract) Duties: Identifying and analyzing legal risks and proposing appropriate actions to ensure operational compliance with relevant laws and policies, advising on, preparing, and educating clients regarding corporate policies and on the application of such policies. Providing legal support and advice to and collaborating with clients on a wide variety of commercial, employment, contract and corporate transactional issues arising in day-to-day operations. Maintaining qualification and insurance requirements in jurisdictions in which the firm does business. Providing advice and legal support related to corporate formation documents, such as bylaws, shareholder agreements and operating agreements. Learn and/or keep current with developments in the field of specialty to ensure compliance. Assist in the coordination of matters typically handled by outside corporate counsel. Be an integral part of interdepartmental project teams. Providing other legal support as needed with interdepartmental project teams.
Qualifications: Should have an exceptional academic background, with a J.D. degree from a fully accredited law school and an active license, in good standing, to practice law in KS and/or MO. Experience working with small businesses as general counsel or in-house legal departments is a plus. Must have 5+ years of Business Law and other transactional experience in Mergers & Acquisitions / Dissolutions; Franchising; Formation & Corporate Governance; Organization / Reorganization; Contracts; Banking; Finance; Tax; Investor Documents (options, convertible notes); and Non-Profits. Strong business transactions experience including drafting Stock and Asset Purchase Agreements, performing due diligence, creating, reviewing and organizing documents and information necessary for closings packets, creating loan and/or financing documents, and collaborating with other professionals. Background and experience in Franchise Law a plus.
