Corporate Counsel - Commercial contracts The candidate will engage and build relationships with the business to act as front-line legal counsel and provide high-quality, pragmatic legal and business advice regarding a wide range of commercial issues. Act as lead negotiator for complex agreements; negotiating, and drafting a wide range of contracts with strategic, enterprise, and commercial customers and subcontractors, suppliers, and vendors. Assess proposed commercial transactions and develop strategies to minimize legal and business risks. Think strategically and help create and execute on plans to achieve both short-term and long-term results and communicate with key legal and business stakeholders. Collaborate with the team to evolve the commercial legal function, by identifying opportunities to centralize knowledge and creating scalable processes to increase visibility and expedite communication, alignment, and execution. Develop and implement processes, templates, and best practices to support the work of the role. Assist with ad-hoc projects related to corporate governance, mergers and acquisitions (perform due diligence activities), compliance, and other legal matters as needs arise. The candidate should have a completed Law Degree with 4+ years of experience in a law firm or in-house legal role. Active bar license in good standing in the state in which you are located or the ability to become licensed within six months. Proficient with commercial law and contracts. Developed drafting skills with keen attention to detail. Outstanding interpersonal skills - verbal and written - able to capture relevant information and optimally document and articulate findings. Skilled in problem-solving and analytical reasoning. Excellent negotiation and legal drafting skills. Excellent communication skills. High work capacity and passion for the job, in addition to high ethical and moral standards. Demonstrated ability to identify risk, problem solve and offer creative solutions to mitigate risk. Ability to manage and prioritize work from multiple stakeholders. Ability to work across organizational and functional boundaries to drive business strategies and negotiations.
