Corporate Counsel Duties: Responsible for navigating and leading complex commercial transactions and agreements. Draft, structure, review, interpret, and negotiate a broad range of commercial agreements and contracts supporting a variety of business functions, including supply/procurement agreements, aircraft sales and transaction agreements, SaaS and license agreements, marketing and sponsorship agreements, business development agreements, etc. Support the Company's expanding real estate growth. Draft, review, and negotiate various real estate documents associated with growth projects such as commercial leases, ground leases, licenses, development agreements, and other real estate and corporate-related documents and agreements. Carry out, in a hands-on fashion, all activities associated with domestic and international M&A transactions, including the review and negotiation of all transaction agreements, the planning and conducting of due diligence investigations, the planning and conducting of transaction closings, and support of post-acquisition integration activities. Provide counsel on corporate finance matters. Organize, enable, and drive other Legal Department generalist duties, compliance initiatives, and projects as needed and with minimal supervision. Must be a person willing to roll up one's sleeves to take on new challenges. Engage and oversee outside counsel as may be needed, while understanding that the role primarily involves the personal handling of documents for a particular transaction or project. Be a principal advisor and business partner to sales and procurement professionals on a broad range of commercial contracting issues.
Qualifications: J.D. with excellent academic credentials. Current attorney licensed and in good standing in at least one State with the ability to become licensed to practice law in Minnesota or Tennessee. Should have 5+ years of varied corporate transactions, real estate deals, and contracts experience (preferably a portion of which gained in an in-house corporate setting). Proven negotiation, drafting and analytical skills for various types of commercial contracts. Must be a skilled writer and drafter with a steadfast attention-to-detail. Strong oral and written communications, presentation, and facilitation skills. Must interact confidently, persuasively and diplomatically with all levels of Cirrus organization. Must also be a good listener.
