Director and Managing Counsel, US Litigation and AML Duties: Provides people management leadership by hiring the best talent, setting goals, developing staff, managing employee performance and compensation decisions, promoting teamwork and handling any/all disciplinary actions, as required. Provides leadership across a wide range of litigation matters on both sides of the border, from higher frequency smaller cases to large and complex litigation, as well as files based on subject matter expertise (patents, employment, shareholder and wealth). Advises the General Counsel and senior management on litigation, including developing and executing company-wide litigation strategies that minimize adverse litigation outcomes and reduce TDB's prospective risk profile. Provides advice and strategic guidance to the US AML program. Provides legal counsel to all levels of executive staff. Advises Business Lines concerning legal matters. Assists in protecting legal interests of the bank and maintaining its operations within the scope established by law. Selects, manages and coordinates outside litigation counsel in accordance with a well-defined external counsel management program. Makes strategic decisions regarding legal arguments and positions taken in connection with litigation matters. Identifies key legal issues requiring attention from the General Counsel as appropriate. Has overall responsibility for litigation managed by subject matter experts in TD Legal (e.g. patents, employment, shareholder, wealth). Keeps abreast of developments and shares knowledge of legal issues impacting major financial institutions in Canada, the U.S. and international. Develops and enforces a cost-conscious approach to litigation management, commodity matters, sharing legal expertise across firms, outsourcing document review, etc. Provides ongoing advice to senior executives and other business lines regarding general legal and contract-specific issues and risks. Participates in structuring, negotiating and drafting of complex business transactions (complex, high-dollar value transactions). Consults on pre-litigation legal disputes and inquiries. Monitors and directs litigation. Advises on legal implications of enterprise issues. Manages and mentors Staff Attorneys and Paralegal Assistants.

Qualifications: Bachelor's and Juris Doctor degrees from an accredited law school required. Licensed to practice law. Admitted in good standing to a State Bar. 15+ years of experience as an attorney. Experience in Banking (Retail and Commercial): Insurance Brokerage; Broker/Dealer expected. Experience advising senior management on legal, risk, and strategic issues. Proven expert knowledge of Regulatory Compliance. Broad transactional background and excellent negotiation and drafting skills; legal research and writing skills. Proven success of high volume matters in a fast-paced environment. Ability to problem-solve, multitask, and work effectively against deadlines.
