Director, Counsel - Corporate The candidate will prepare, review, and advise on securities filings, including Form 10-Q, Form 10-K, Form 8-K, Proxy Statements, and other documentation required through SEC and exchange regulations. Interpret and advise on all aspects of securities laws and regulations including the Securities Act of 1933, Securities Exchange Act of 1934, Regulation and G, and Regulation FD. Advice on and administer policies and procedures relating to securities law compliance and disclosure, and work closely with internal audit and finance teams concerning public company compliance matters. Review external communications, including press releases, investor presentations, other announcements, and significant internal communications. Stay abreast of compliance trends, legal developments, and best practices. Support Board of Directors, including drafting resolutions, preparing meeting materials and minutes, and providing general legal advice. Work with and support the Treasury and Finance organizations on matters relating to corporate debt and other capital structure transactions. Manage company organizational structure (subsidiary management and governance. Negotiate, draft, edit, review, and interpret various types of commercial documents, providing sound legal advice and direction to minimize business risks and support the business teams. Effectively assess business needs/requirements and determine the appropriate documentation necessary to meet business needs/requirements, mitigate potential risks/issues and ensure compliance with applicable laws and policies. Communicate or present risks & benefits of negotiating options and contractual provisions to business clients, and make recommendations to decision-makers. Should have JD from a highly rated accredited law school. Must be a member of a State Bar with the ability to obtain New Jersey in-house certification if not admitted in New Jersey. Must be a collaborative team player with solid expertise in public company/securities law compliance and 3-6 years of relevant experience within an in-house corporate legal department setting and/or law firm. Large firm experience is a plus.
