Assistant General Counsel, Securities Services

Assistant General Counsel, Securities Services Responsibilities: Provide legal support to the Execution Services business for the North America and Latam regions. Negotiate agency securities lending and ancillary agreements with lender clients, securities loan, repo and ancillary agreements with approved borrowers and counterparties, and investment advisory agreements with clients. Participate in strategic planning and development and contribute to business objectives by using knowledge of industry, laws and regulations. Partner with business/functional line management in recommending, developing and executing business initiatives within permissible statutory and regulatory frameworks. Appropriately assess risk when business decisions are made, demonstrating particular consideration for the firm's reputation and safeguarding Citigroup, its clients and assets, by driving compliance with applicable laws, rules and regulations, adhering to Policy, applying sound ethical judgment regarding personal behavior, conduct and business practices, and escalating, managing and reporting control issues with transparency, as well as effectively supervise the activity of others and create accountability with those who fail to maintain these standards.

Qualifications: J.D. or equivalent. Bar license in good standing to practice law. 5+ years of experience. Experience in coordination of interactions with legal teammates and product management. Banking or financial industry experience, including laws relayed to the regulation of national banks (OCC Fiduciary Regulations, SEC Regulation R, Fed Regulation W, Volcker Rules). Securities law experience, including Gramm-Leach-Bliley. Securities and secured transactions law experience, including UCC Articles 8 and 9 or similar international laws. Understanding of the service requirements for a securities lending agent (lending, collateralization, asset management, data, and financial operations). Proven analytical and organizational skills. Consistently demonstrate clear and concise written and verbal communication for consumption by business colleagues.
