Real Estate Counsel The candidate will draft leases, purchase and sale agreements, construction contracts, letters of intent, deeds, etc., for commercial real estate transactions. Coordinate and direct the review and preparation of commercial leasing, acquisition and disposition documentation. Review real estate contracts to reflect desired business terms/conditions and legal standards. Review title and closing documents prior to closing. Provide title review and defense. Work with outside counsel on real estate litigation defense or prosecution. Attend planning commission and zoning meetings and represent the company when necessary. Consult with Real Estate team to determine real estate business needs (e.g., acquisitions, disposals, etc.). Negotiate contracts (e.g., purchases, sales, leases, etc.) with external parties (e.g., attorneys, business representatives, real estate brokers, etc.). Perform/arrange for transactional legal services (e.g., coordinates closing process, provides executable documents, manages escrow accounts, etc.) to ensure accurate and timely completion of real estate transactions. Provide legal counsel to internal departments on real estate matters (e.g., risk exposure, legal position, obligations, etc.) to develop business strategies for real estate transactions. Partner with external counsel to collaborate on complex, high-risk, and costly real estate matters and transactions. Conduct legal due diligence, including title and survey, land use/zoning, and environmental and evaluates risks associated with properties.

The candidate should have a Juries-Doctorate degree. Should have 3+ years of experience as an attorney in commercial real estate. Admitted to practice law in the United States (Good Standing). Ability to obtain FL Authorized House Counsel status. Should have 6+ years of experience with a law firm or in-house transfer, specifically in commercial real estate. Admitted to practice law in the United States (Good Standing). Ability to obtain FL Authorized House Counsel status. Excellent analytical, communication, research, and writing skills. The ability to anticipate issues, mitigate risk through legal work, and partner appropriately to solve business problems. Must have the ability to work more independently and handle more significant matters and risk exposure to the company. Must have excellent analytical and negotiation skills. The ability to read, analyze and interpret complex legal and business documents. Must have strong presentation, influence, and communication skills at all levels of management.
