Corporate Counsel - SaaS/Technology The candidate will partner closely with our sales, finance, and other business teams on commercial and data protection-related matters, emphasizing the importance of high-quality contracts and privacy adherence. Work with senior leadership to advise on negotiation strategy and ensure the contemplated legal terms will meet business needs over the long term. Provide legal guidance regarding contract interpretation matters and general business matters. Review redlines from prospects and escalate areas of concern to internal Counsel. Work with sales team regarding acceptable changes to business terms. Review and handle NDA requests from prospects. Work with the account management team to assist with upgrades and expansions to services. Prepare initial amendments and upgrade agreements for review by internal Counsel, with required input from sales leadership. Assist Finance and Sales team in managing existing contracts. Review vendor contract terms and conditions. Aid in the development and automation of processes to scale efficiencies in the sales support function. Maintain an existing library of standard documents, policies, and procedures. Interact with prospects on conference calls to handle low-risk legal issues during contract negotiations. Respond promptly to legal requests. Contribute to other legal projects as required by the business.

The candidate should have a Juris Doctorate degree from an ABA-accredited law school. Should have 5-7 years of substantive commercial legal experience, with a preference for experience in-house at a SaaS company. Practical experience in SaaS contracting and advanced knowledge of commercial, contract and privacy law. Experience with regulations that apply to SaaS technologies. Expertise in drafting and negotiating a wide variety of commercial agreements typical to the technology sector. Experience negotiating contracts with financial services customers is a plus. Ability to work with sales, finance, marketing, and IT teams collaboratively in a growing organization. Ability to work in a high-volume, fast-paced environment while remaining analytical and detail-oriented. Ability to own a process from start to finish and implement processes independently. Comfortable with live negotiations across from sophisticated customers, partners, and vendors. Excellent communication skills and can summarize complex issues for stakeholders across the business. Strong client service orientation, with high emotional intelligence and the ability to perform well under pressure.
