Associate Corporate Counsel The candidate will review, markup, draft, and negotiate various information technology agreements, including, Confidentiality Agreements, Memorandums of Understanding, Master Services Agreements, Software as a Service Agreements, Statements of Work, and License Agreements. Monitor emerging regulatory developments in the area of data privacy and security and provide legal counsel and advice on data privacy and security matters. Support the IT Department in negotiating deliverables, scope of services, representations and warranties, indemnities and limitations of liability. Assist with the development and implementation of the Company's IT policies and procedures. Review, draft, and negotiate various commercial real estate agreements, including, Letters of Intent, Purchase and Sale Agreements, Commercial Lease Agreements, Commercial Sublease Agreements, and Drop Yard Leases. Provide advice on a variety of real estate issues such as local zoning and ordinance issues, mechanics liens and title and survey issues. Review title and closing documentation prior to closing of commercial real estate transactions. Provide legal support on mergers and acquisitions and strategic investments, including but not limited to, drafting and negotiating Confidentiality Agreements, Letters of Intent, and Transaction Agreements and performing due diligence as well as pre-closing and post-closing transactional activities. Collaborate with and facilitate cross-functional decision-making with internal business partners and stakeholders on a variety of legal matters.
The candidate should have a Juris Doctorate degree from an accredited law school. Should have 5+ years of relevant legal experience in either an in-house or law firm setting. Admission to a U.S. State Bar with an active license and in good standing. Outstanding client-service focus and technical mastery to convey complex legal principles clearly and concisely in order to develop solutions and facilitate executive decision-making. Ability to adjust to multiple demands in a fast-paced environment. Excellent interpersonal, written and verbal communication skills. Creative problem-solver and a collaborative team player. Unquestioned integrity and professionalism. A business-minded transactional attorney who understands business objectives and helps balance legal risks under tight deadlines. Occasional travel as needed to carry out job responsibilities.
