Corporate Counsel Duties: The candidate will be supporting the firm's SEC filings and other corporate regulatory filings, including the proxy statement, 10-K, and Section 16 reports, as well as compliance with Nasdaq's listing and governance requirements. Assisting with corporate governance matters, including Board and Committee support, policies, and charter. Providing broad-based equity compensation program support and advice on executive compensation matters, 10b5-1 plans, and restricted trading group management. Providing legal support for debt and equity offerings and other transactional corporate matters. Supporting the Workday Ventures team with investments in emerging companies, ongoing matters, and strategic exits. Coordinating aspects of international subsidiary governance and corporate secretarial matters. Providing strategic, practical legal advice to the accounting, communications, investor relations, human resources, stock administration, tax, and treasury teams. Assisting where needed on other legal matters, both domestic and international. Helping to develop, implement, and continually improve the company and team processes and procedures.
Qualifications: The candidate should have a JD degree and active license to practice, and 4+ years of relevant corporate experience at a top-tier law firm with a focus on Securities and Governance. High level of integrity, professionalism, intellectual curiosity, humility, and willingness to grow. Impeccable written and oral communication skills and the ability to communicate effectively with legal and non-legal audiences at all levels of the organization. Extremely high attention to detail. Strong organizational and project management skills, and the ability to thrive in a fast-paced, ever-changing environment. Excellent at understanding complex topics as well as finding streamlined solutions to complex issues. Ability to work both independently and collaboratively across teams, build strong relationships, and inspire others to collectively achieve corporate objectives.
