Svp & Senior Legal Counsel, Reinsurance Transactions

Svp and Senior Legal Counsel, Reinsurance Transactions Duties: Support customized reinsurance and retrocession transactions that may involve capital markets touchpoints (e.g., portfolio transfers and block acquisitions; remote risk transactions; retrocessions: longevity covers; reserve financings; parametric and index-based solutions) during structuring, negotiation and implementation phases. Provide legal advice in relation to reinsurance business strategy for its Life & Health, Property & Casualty and Alternative Capital Partners divisions. Analyze and advise on legal and regulatory matters as they apply to the group's Americas reinsurance and global retrocession activities. Conduct legal due diligence on transactions; review, draft and negotiate deal documentation; instruct and manage outside counsel, as needed. Work closely with a diverse group of structurers, marketers, underwriters, actuaries, and other cross-functional colleagues to support transactions primarily throughout the Americas, and potentially on a global basis, for both life and non-life business. Lead and/or participate in the legal workstream for transactions, providing support to satisfy local requirements, address legal, regulatory and reputational risks and ensure appropriate levels of governance. Develop and maintain positive working relationships with clients, colleagues and outside law firms. Support internal projects as needed; provide timely and concise input to senior management. Support the development of efficient policies and practices that maintain high legal and ethical standards. Conduct and/or arrange internal presentations and training on legal topics. Monitor legal and regulatory trends affecting the company's business areas. Qualifications: US attorney with 5 years of experience with a large law firm or reinsurance company. Transactional experience in life and/or non-life reinsurance-based solutions. Knowledge of reinsurance laws, regulations and practices and ideally an understanding of cross-border issues, basic structured finance, and collateral structures. Effective written and oral communicator and adopt a pragmatic approach to problem-solving. Provide high-quality, timely client service that is balanced with a clear focus on protecting the interests and reputation of the firm.
