Senior Corporate Counsel Duties: The candidate will provide legal advice to the Company and ensures the Company operates by legal parameters. Support across the Company's activities ensuring that legal issues, contracts, disputes, and complex transactions are conducted within the due diligence of the legal framework. Act as an advisor on legal issues involving the organization's government and regulatory compliance. Review legal data and advises the organization on appropriate legal action to be taken. Responsibility includes preparation, negotiation, acceptance, and management of contracts and subcontracts with customers, vendors, and other organizations. Oversee activity of outside counsel and legal support team as required. Draft and negotiate a wide variety of domestic and international commercial agreements, including NDAs, licensing, vendor, marketing, real estate leases, and sales agreements. Manage all privacy issues and maintain a solid knowledge of privacy law as applicable to Company. Provide counsel and practical advice on compliance with applicable laws and regulations. Provide support on employment law matters. Support organization of third-party sourced training and give occasional live training. Assist and support the legal department's efforts in the creation, implementation, and refinement of forms, policies, templates, and procedures and prepare and deliver training to business groups from time to time. Support and counsel Sales, Marketing, and Human Resources teams with various issues. Build close cross-functional relationships with team members in supported business operations and obtain and maintain a solid knowledge of the objectives of the company. Provide day-to-day legal counsel to various departments and comprehensive management and resolution of legal inquiries from business team members. Assist with coordinating with and overseeing outside counsel. Perform other duties as assigned.
Qualifications: The candidate should have a Juris Doctorate (JD), and 4+ years of relevant experience at a law firm and/or with a corporation, or combination; preferably 6+ years of legal experience. Strong experience with commercial transactions (contracts) required. Admitted to and in good standing in at least one state bar, preferably with the California State Bar and/or Oregon State Bar. Demonstrate a naturally business-friendly and compassionate approach to legal problem-solving and be able to effectively counsel internal clients by providing clear, concise, and practical advice as well as creative solutions. Possess a strong desire to learn the business and new areas of law and to function integrally as a part of a cross-departmental team with HR. Be confident, professional, and quickly able to gain the respect and trust of business team members. Be extremely organized, detail-oriented, and efficient with very strong following and accountability. A self-starter who is quick to pick up new concepts and willing to be able to dig in and become an expert as needs arise. Ability to act with integrity, professionalism, and confidentiality. Experience with data privacy, employment law, and/or policy is a plus.
