Real Estate Counsel Duties: Handling all aspects of general real estate matters including acquisitions, dispositions, equity investments, joint-ventures, development, leasing, and financing. Reviewing complex ground leases and reciprocal easement agreements with department stores and anchors with respect to various issues, including, but not limited to, future development restrictions, permitted uses, operating covenants, leasing standards, permitted transfers and common area maintenance and advising development team with respect to rights and obligations. Drafting and negotiating amendments to complex ground leases and reciprocal easement agreements with department stores and anchors to address various issues, including future development. Reviewing and advising development team with respect to existing loan documentation, coordinating and obtaining lender consents to major ground lease and reciprocal easement agreement amendments and release of development parcels from loans. Assisting with respect to transactions related to mixed-use projects, including joint ventures, co-development agreements, property management agreements, subdivision, easements, CC&Rs and ground leases. Drafting and negotiating easement agreements, license agreements, non-disturbance agreements, access agreements, marketing agreements, service contracts, management agreements and other legal documents. Advising property management and operating management staff on tenant operational/lease issues, landlord/tenant matters, collection activities, and other operational matters. Providing guidance to real estate paralegals on title and survey matters. Participating in the development and interpretation of company operating policies. Providing general legal services on other miscellaneous matters that may arise from time to time. Maintaining and assisting Deputy General Counsel and Associate General Counsel in maintaining corporate compliance procedures and records, ensuring appropriate corporate approvals are received for leases, company transactions and various contracts. Coordinating and overseeing outside counsel to the extent necessary.

Qualifications: Strong academic credentials preferred. Member of a State Bar in good standing, California preferred. Should preferably have 4-6 years prior experience in general real estate transactional practice, including acquisitions, dispositions, joint ventures, financings, easements, covenants, conditions and restrictions and title and survey matters. Experience with REITs and/or real estate companies preferred. Solid knowledge of real estate law and excellent reading, oral/written communication, negotiation and concise grammatical skills. Must be detail-oriented with excellent organizational and analytical skills. Ability to manage and deliver multiple projects in a timely and accurate manner. Ability to take ownership of matters with strong initiative and follow-through. Ability to interact and communicate diplomatically and work well with others at all levels (especially at the senior executive level).
