Associate General Counsel - Employment and Contracts Responsibilities: Oversee the legal matters of the organization, including acting as legal representative and utilizing a network of outside counsel when matters fall outside areas of expertise. Identify and evaluate legal risks and opportunities. Advise executive members on new laws and existing laws that would impact the organization. Work in conjunction with executive team and other internal clients to ensure regulatory compliance. Provide counseling to HR and other internal clients to identify and manage labor and employment legal risks. Act as subject matter expert for specialty area(s) including discrimination, ADA, FMLA, pay equity, wrongful termination, retaliation, and internal employment investigations. Engage and work with outside counsel to manage employment litigation and administrative proceedings. Develop and review written HR policies, guidelines and processes, templates, and training materials. Develop and deliver legal training for HR and other internal clients. Provide employment law advice regarding and directing internal investigations. Advise and help clients understand employment law-related compliance issues. Counsel and advise business clients on a wide variety of complex and developing employment-related legal and business issues. Drafting, review, negotiation, and management of various agreements including, but not limited to, settlement agreements, grants, technology and security-related contracts, internship contracts, licenses, independent contractor agreements, master service agreements, lease agreements, memoranda of understanding, and any other requests that may arise from internal or external contacts. Reviewing of various documents for compliance with organizational policy. This includes application materials for grants and contracts. Contribute to the formulation and communication of policies and operating procedures to minimize risk and ensure conformity with relevant contracts.

Qualifications: Juris Doctor (J.D.) and membership in one state bar or equivalent. Should have 6+ years of legal experience, including experience years at a law firm or in-house, preferably in a transaction employment group. Transactional and technology licensing experience. Familiarity with IT infrastructure, outsourcing, telecommunications or cloud computing services. Management experience. Must have a strong interest in the operations of nonprofit organizations and a broad-based curiosity about potentially unfamiliar legal matters coupled with the ability to master new topics independently, as ADA is a young organization developing rapidly. Must have the ability to manage relationships across the organization and with outside parties diplomatically, including when enforcing a rule or managing expectations.
