Attorney, Corporate Advice - Treasury The candidate will be part of legal team providing support for with respect to corporate treasury matters, including advising on commercial contracts, including guarantees, transactional documents, intercompany loan documents, dealer agreements and securities lending agreements, advising on capital market transactions, including debt issuances and redemptions, preferred stock issuances and redemptions, and issues relating to issuance programs, advising on jurisdictional questions in connection with issuances outside the United States, and advising on Treasury-specific matters relating to the Company's Recovery and Resolution Plan, such as the Secured Support Agreement. Must have 6+ years of experience as an attorney practicing in corporate law and capital market transactions. Active license to practice law in at least one state or the District of Columbia. Experience representing corporate clients on corporate law and commercial contracts. Understanding of the rules and regulations promulgated under the Securities Act and familiarity with corporate treasury and financing matters. Securities experience advising a financial institution on corporate treasury-related matters, including equity and debt issuances is preferred. Must demonstrate highly developed oral and written communication skills. Self-starter having the capability to operate with limited oversight and to interact confidently with senior management when required. Ability to manage and direct projects and processes. Demonstrate confidence in risk-managed decision-making and judgment. Familiarity with public company accounting rules as they impact securities law analysis.
