Corporate Legal Counsel Responsibilities: Managing transactions and advising management on key deal terms and associated risks. Reviewing, drafting, and negotiating a wide range of agreements related to the Company's US commercial operations and business development, including in- and out-license agreements, development agreements, manufacturing agreements, and other types of business collaboration agreements. Experience handling agreements for business operations in Europe is a plus but not required. Managing a high volume and variety of transactions. Providing practical legal advice and support directly to clients in a fast-paced environment with a high level of professionalism. Being an active member of the Company's global Center of Excellence for transactions, which is responsible for enabling best practices globally and regionally in transactions, including implementing contract templates and contract management processes, and leveraging digital technology in collaboration with the Company's Digital Process Excellence team. Training and guiding business teams on the use of contract templates, relevant legal issues, and good contracting practices. Keeps informed of new laws, regulations, and industry trends affecting the Company, and assists with development of policies and training as needed.
Qualifications: Must have 4-6 years of relevant contracting experience in-house or at a law firm; experience with or in the pharmaceutical, biotechnology, medical device, or healthcare industries. JD from accredited law school and license to practice in at least one US jurisdiction. New York, New Jersey or Pennsylvania are preferred. Membership in good standing with a state bar association. Excellent drafting and negotiating skills. Ability to work independently with minimal supervision. Exceptional organizational and time management skills. Ability to prioritize competing projects and priorities. Strong oral and written communication skills. Demonstrated ability to proactively identify and resolve problems. Pharmaceutical law expertise preferred but not required (FDA regulations and guidance; Federal Food, Drug and Cosmetic Act and related regulations, PhRMA Code, and fraud and abuse laws, federal and state kickback laws; False Claims Act).
