Senior Corporate Counsel Responsibilities: Heavy drafting of complex documents/contracts for domestic and international transactions. Interact extensively with management and employees of the Company at all levels, and with outside counsel as required. Provide fast and informed legal guidance to management on a wide range of commercial and legal issues, including commercial transactions, finance, regulatory, corporate governance, labor, trade, IP, insurance, and tax. Coach and mentor team members.
Requirements: JD Degree, licensed and in good standing in FL or another state, or otherwise qualified to become an Authorized House Counsel in Florida. 3+ years experience in an Am Law 100 law firm. Experience in commercial aviation financing and leasing transactions. Strong transactional drafting experience in complex domestic and international finance, commercial real estate, or mergers and acquisitions. Detail oriented while also mindful of the big-picture context. Ability to function successfully in a fast-paced yet collegial environment. Ability to balance problem-solving and closing mindset with the need to protect the company. Demonstrated ability to work with all levels and throughout an organization. Preferred Requirements: Experience in the following practice areas: Complex asset-based financing transactions, Commercial contracts, Cross-border transactions, Mergers & Acquisitions, Labor and employment matters, IP/Trademarks, Import/export regulations and compliance with trade sanctions, Taxation, especially transactional taxes arising from cross-border transactions, Bankruptcy/workout and litigation management, Credit facilities and banking.
