Corporate Counsel Duties: Taking the initiative to understand issues, own projects, and outcomes, develop relationships, and move the business forward. Innovating creative solutions to complex matters. Working independently, benefited by insights from seasoned counsel. Applying existing skills successfully to navigate novel issues and subjects. Provide strong leadership to the VP's direct and indirect reports. This leadership includes generating enthusiasm and shared commitment; identifying and setting new directions; teaching, growing, and empowering; owning outcomes, and leading by example. Establishing the vision and tone for the department, consistent with company culture and mission. Establishing clear goals and performance expectations. Hiring individuals who can accomplish those goals and meet those expectations, and providing them the open communications, training, tools, and mentoring they need to be successful and develop professionally, and a development path commensurate with capabilities and potential. Providing clear and accurate feedback to individuals and teams on a timely and consistent basis. Identifying and addressing performance problems early and effectively before they damage GCI's interests and demoralize other employees. These processes include annual performance reviews, compensation adjustments, promotions, demotions, transfers, and disciplinary actions up to and including termination. Provide principal legal support in connection with commercial negotiations in support of business units; based on prior demonstrated experience, effectively manage outside counsel in reviewing and/or negotiating a broad range of commercial agreements, including those of a technical matter. Representative agreements range from non-disclosure agreements to software license agreements and a range of as a service acronym agreements. Understand implications of cybersecurity and privacy to transactions and work with business units to mitigate risk in light of company business goals. Advise contract administration team on structuring, review, negotiation, and drafting of agreements. Support Senior Counsel, Contracting & Transactions in providing general legal advice to business lines within GCI and provide legal guidance as to the primary legal contact with GCI's IT and Procurement departments.

Qualifications: High School diploma or equivalent is required. JD degree from a law school accredited by the American Bar Association is required. Must have 3+ years of legal experience, including commercial business negotiations and contract drafting. Experience in negotiating complex commercial and intellectual property and licensing agreements, including specific experience negotiating and drafting a wide variety of standard commercial agreements and key business contract clauses, preferred. Experience with privacy and cybersecurity compliance, or comparable subject matter, is highly valued. Licensed by state law to practice in Alaska or a state that grants reciprocity with Alaska is required. Must be a positive self-starter with the ability to take initiative, identify needs, and work independently with minimal direction and supervision. Have negotiation, drafting, and post-closing experience with complex commercial transactions. Strong and demonstrated understanding of and foundation in commercial contract law and contract negotiations from both litigation and transactional perspective. Specific experience negotiating and drafting a wide variety of standard commercial agreements and key business contract clauses is ideal. Knowledge of privacy and cybersecurity regulatory regimes or demonstrated ability and interest in the comparable subject matter. Strong analytical, interpersonal, and oral and written communication skills. Ability to resolve complex issues in creative and effective ways. Ability to effectively manage multiple projects or transactions at the same time. Exceptional attention to detail and organizational skills.
