Associate General Counsel, Corporate Secretary

Associate General Counsel, Corporate Secretary Duties: Primary interface to the NYSE and SEC for required filings. Compliance with SEC and NYSE rules and requirements. Support for the Company's Disclosure Committee. Advise the Investor Relations and communications teams regarding investor presentations, earnings and other press releases and related materials. Advice on securities law and related aspects of the Company's capital markets transactions. Corporate governance advice and support. Preparation and review of Shareholder, Board and Committee meeting materials. Advice on executive compensation and equity plan administration. Develop and assist with the implementation of corporate policies and practices relating to corporate governance and legal compliance matters. Assist in the preparation of annual reports on Form 20-F, offering circulars, and prospectuses. Interact with external counsel in the U.S. as needed to support the Company. Manage the Company's securities trading policy and related person transaction policy. Serve as Assistant Corporate Secretary.

Qualifications: JD Degree and admission to at least one state Bar. Should have 8 years of relevant experience. Substantial background in U.S. securities law is required. Experience with NYSE registrants preferred. Strong verbal/written communication skills and ability to communicate effectively at all levels. Strong interpersonal, analytical, problem-solving, and organizational skills.
