Attorney - Commercial Banking Responsibilities: Legal support for related transactional matters such as bankruptcy and debtor-in-possession financings, workouts and restructuring, and, on a limited basis, litigation. Close working partnership with line of business clients at all levels, and also with other internal legal colleagues, as well as syndications, treasury, risk management, compliance, regulatory and audit partners supporting those lines of business. General legal counsel to the commercial banking businesses with focus primarily on secured asset-based lending transactions, as well as specific advice on products, services and certain legal actions. Reviews legal contracts and documents. Directly, or through staff, conducts legal research.
Qualifications: JD and at least one State Bar admission (active/good standing).. Should have 5 years relevant experience with emphasis on structuring, drafting and negotiating documentation for single lender and syndicated secured asset-based credit facilities. Relevant documentation and transactional experience should include some work with single lender and syndicated credit agreements, security agreements, deposit account control agreements, inter-creditor agreements, commitment letters and term sheets, and confidentiality agreements. Relevant experience should also include some work in bankruptcy and debtor-in-possession financing transactions. Litigation experience is required. Must possess strong communication and drafting skills and demonstrate experience and confidence in risk identification and analysis, and risk management decision making.
