Corporate Counsel

Corporate Counsel Duties: Reviewing, drafting, structuring, and negotiating a variety of complex commercial and procurement agreements, including inbound and outbound technology licenses, master services agreements, subscription agreements (including SaaS), marketing agreements, and OEM/procurement agreements. Partnering with internal clients to facilitate efficient and accurate contract review, providing practical, actionable advice to overcome challenges. Advising and assisting internal stakeholders in the development and maintenance of standard contract terms and templates on a project-by-project basis. Conducting training and education on approved contracting processes and best practices. Ensuring all contracts align with the company's policies and risk tolerances.

Qualifications: BA/BS and JD degrees required. A lawyer qualified to practice in at least one U.S. state. Should have 8+ years of experience in-house, law firm, or a mix of the two. Significant experience and confidence in negotiating complex agreements. Strong written and verbal communication skills. Advanced PC skills required with expertise in MS Word, Excel, and PowerPoint. DocuSign, SharePoint, and experience is a plus. Exceptional attitude, strong work ethic, and the ability to work well in a team environment.
