Counsel - Corporate Development Duties: Draft, review, analyze and negotiate strategic partnerships, joint ventures, equity investments, targeted acquisitions and divestitures, and other corporate transactions. Engage in activities relating to corporate transactions, including participation in due diligence. Strategic dialogue with company partners with respect to transaction-related decision-making, strategic processes, and issue resolution. Proactively supporting the entire transaction process, including by leading, drafting and negotiating key transaction documentation, providing legal advice and counsel to the Corporate Development group and other internal departments, and coordinating and leading all aspects of internal and external project teams to ensure the successful completion and integration of transactions. Anticipate, identify, and manage risk and liability exposure. Provide practical, compliance and strategic legal advice and counsel to internal clients on a variety of matters as issues arise. Strategically and in a cost-effective manner, manage and partner with outside counsel to ensure execution and delivery of high-quality work product. Lead all aspects of and manage certain other critical initiatives that are deemed important to the growth and prospects of the Company.

Qualifications: Doctor of Jurisprudence degree. Bar admission and an active member in good standing in at least one state. Should have 3 years of practice with a law firm or large multinational company with considerable experience supporting sophisticated corporate development and transactions. Broad knowledge of corporate subject areas including corporate law, contract law, M&A, joint ventures, and equity investments, among others. Excellent analytical skills and the ability to render persuasive, diplomatic, practical, and creative legal advice in a timely fashion. Excellent eye for business with the judgment and ability to advise on legal issues within the business context. Excellent written and oral communication skills, especially of complex issues. Excellent interpersonal skills and planning/organization abilities. Effective problem-solving and decision-making skills. Ability to handle multiple priorities and handle high-pressure situations with timely deadlines. Preferred Qualifications: Previous in-house airline experience. Knowledge of the aviation/airline industry. Advanced knowledge of Microsoft Office including Word, Excel, PowerPoint, Outlook, etc. Knowledge of federal securities laws, aircraft purchase and sale agreements, fuel supply purchase agreements, loyalty, and revenue management technology service agreements, among others.
