Job Summary The successful candidate for this role will have a strong background in law firm management, transactional workflows and processes, risk analysis, and a substantive understanding of the laws of mergers and acquisitions. The person filling this role will work with our internal Acquisition Team and General Counsel to build a first-class operation and will lead the acquisitions process. We want someone to help us grow and expand and build a strong foundation. Essential Duties and Responsibilities Manage outside counsel and leverage them for drafting and negotiations; Manage counsel selections, assist in best practices and structuring deal processes for best efficiencies, to include potential firm selection and cost efficiencies Conduct risk analysis and improve and enhance the legal acquisition strategy; Negotiate and draft acquisition and assignment documents, amendments, and related ancillary documents and schedules relevant to buying stock, assets and related matters for a company in the regulated industry of vision care and optometric practice management Lead acquisition legal team and related on-boarding teams; own and build out project flows and agreement templates Contribute to the law firm and acquisition team committee meetings and have up-to-date knowledge of major projects, deals and goals Interaction with selling optometrists and their attorneys, opticians, field personnel, outside and opposing counsel in problem solving and dispute resolution Manage redline and track-change processes for multiple deals and agreements in unison Work Experience 15+ Years of firm or in-house corporate experience with joint ventures, acquisitions and significant drafting background, as described above Proven drafting, project management and database experience Success in building relationships and gaining trust with affiliated doctors and business managers Education & Requirements Juris Doctor from ABA Approved School, passage of State Bar Exam and in good standing Ability to gain Corporate Counsel designation with Virginia Bar or maintain proper bar standing as required or advisable Skills Organization Attention to detail is critical for this role Drafting and template ownership Managing workflow among multiple projects and timelines for renewals and expirations Exceptional drafting and negotiation skills (drafting is a key requirement for the role) Working Conditions Travel up to 15% of the time may be required Access information using a computer Effectively communicate and exchange information with others and lead as needed, driving results with management Regular, dependable attendance and punctuality are essential Must be able to lift up to 20 lbs. and move about an office setting This position is performed remotely and requires travel and work with the Home Office in Vienna, VA on regular intervals Other details Pay Type Salary Apply Now Location on Google Maps Raleigh, NC 27613, USA Vienna, VA 22180, USA Virtual
