Contracts Counsel The candidate will prepare, review, negotiate and secure execution of procurement and other contracts, including, master service agreements, consulting and professional services agreements, confidential disclosure and data sharing agreements, material transfer agreements, information technology agreements, vendor agreements and statements of work in support of your assigned business units. Enter contract details into the company's contracts lifecycle management system. Serve as a legal resource and mentor for the contracts team, commercial team and other internal stakeholders by (i) explaining contract and commercial law concepts and (ii) proposing creative solutions to negotiation impasses. Assist with initiatives to improve the contracting process by reducing cycle times and increasing efficiency. Assist with the development of template agreements, alternative provisions and negotiation guidelines. Partner with, and provide direction and guidance to, internal stakeholders regarding legal issues and contract policies and processes, and escalate matters where necessary. Represent legal department and contracts function on cross-functional initiatives.
The candidate should have a Juris Doctorate from an accredited law school and a license to practice in at least one US jurisdiction. Should have 5 years of relevant experience negotiating and drafting agreements. Ability to prioritize and manage multiple tight deadlines in a fast-paced business environment. The customer-centric and solutions-oriented approach in supporting both external and internal stakeholders while protecting the best interest of the company. Ability to provide practical, timely, and risk-appropriate legal counsel to a wide variety of internal clients and interact effectively with employees at all levels of the organization. Strong verbal and written communication skills. Strong work ethic with the ability to work independently. Experience negotiating data privacy issues is preferred. Experience supporting commercial and/or clinical development teams is preferred. Experience with the pharmaceutical or biotech industry, preferably with vaccines or infectious diseases is preferred.
